The verdict is in. Microbreweries in the USA have proven they can produce beers equal to or surpassing the great beers of England, Belgium and Germany. But the battle to make craft beer number one in America has only just begun. The enemy is within our own borders, cleverly marketing flavorless barley water as beer. If you knew how often the national breweries manipulated laws pertaining to labeling, distribution, and taxation, you would be outraged. Bullying tactics by the megabrewers have left many small breweries in shambles; yet, a financially fortified craft brewery can repel strong-arm assaults even from the industry Goliaths.

Years ago, early immigrant brewers came to this country from continental Europe and established literally thousands of small, distinctive breweries providing beer that often served as a mainstay to many of our ancestors’ diets. Beer regularly took the place of drinking water because it was safer to drink. So important was beer that laws were enacted to protect its quality. Festivals were held to celebrate beer. The styles and tastes of beer were as diverse as soft drinks are today. Then came Prohibition and the Great Depression changing beer’s honored place in American history. These two events ultimately allowed only the mammoth breweries to survive to offer their very limited selection of beer that must be served ice cold to be palatable. Left by the wayside were the remains of many great breweries with their distinct beer no longer offered to the public.

The change in laws over the last twenty years allowed many of these great beer styles to be resurrected and even improved upon by the newly burgeoning American Craft Brew industry. The volatile early years of the American craft brewing industry are now behind us. Ahead lies the great expansion and maturity of the fine beer business, as well as the long awaited renaissance of fresh, local, interesting beer as it once was. It is now possible to find great beer right here at home.

Still, many uninformed consumers of fine beer have hardly given microbrews a chance and continue to spend their hard-earned dollars on foreign beer in an attempt to get a brew with enjoyable aroma and taste. Consider this: is siphoning your beer money to a foreign country really the way to build a stronger craft beer economy in America? Splendid, flavorful beers have long been in the American tradition. Today’s Micro-brews are challenging the U.S. brewing Goliaths and foreign imports by bringing back the institution of fine world class American made beers.

THE NIMBUS BATTLE CRY

Now is the time for all good beer drinkers to come to the aid of their country (and their local brewery) by drinking great beer, but more importantly, by promoting American made micro-brewed beer to their co-workers, friends and family.

What is Nimbus doing?

At Nimbus Brewing Company, we are dedicated to providing the finest quality, best tasting, all natural beers with no additives or preservatives. We pride ourselves on our flavorful, distinctive beers - beers for those who know the difference. Even with our growing pains through the installation of new brewery equipment and the current remodeling of the taproom, we have increased our production, quality, and diversity of brews. What’s more, Nimbus customers will soon be regularly offered new seasonal beers due to our added capacity.

All of this work has been costly, but worth it. It has meant long hours and hard physical labor and substantial capital inflow. Nimbus beer sales continue to increase at a dramatic rate. Our production capacity now finally meets and exceeds our current sales. Nimbus Brewing’s reputation is spreading throughout Arizona, to where it has now become the most productive brewery in the state. There is still more that we need to do to spread the Nimbus throughout the state and the Southwest.

How Will Nimbus Continue To Grow?

Since the beginning, the growth and success of Nimbus Brewing Company has been financed through private investment and reinvestment of profits. We firmly believe that this method is the best way to our continued growth debt free and with eventual distribution of profits to its owners. That is why we are announcing the formation of THE LEGION OF NIMBUS. If you enjoy our beer and want to help us keep growing, then you should consider participating in our battalion of dedicated Nimbus supporters.

As a recruit of the Legion, you will receive 1 (one) unit of ownership out of a limited number available in Nimbus Brewing Company, LLC. You will be entitled to certain benefits as described in detail below. Legion of Nimbus members will receive special brewery discounts and have the opportunity to participate in a variety of brewery events, shows and outings such as brewery tours, tastings, pub crawls, beer dinners, and educational brewing seminars, among other things.

When can I join? Right Now!

TO ENLIST YOU MUST MEET 2 SIMPLE QUALIFICATIONS

1. You must be 21 or older.
2. You must be willing to have your picture taken wearing a halo over your head for a Legion of Nimbus photo ID.

HOW DO I BECOME A MEMBER?

Joining is easy. Just follow these simple steps.

1. First, read this membership brochure to familiarize yourself with the Legion of Nimbus benefits and rules.
2. Pay your membership fee. There is an initial fee of $1,000.00. After three years there will be an annual renewal fee of $25.00.
3. Fill in your membership card and have your photo taken. (Be sure to look your best!)
4. Pick up your membership card. You will be contacted when your membership card has been processed (typically within 7-14 days).
5. That’s it, you’re in! After that, every time you come into the brewery, be sure to present your card to show that you are part of our Royal Family - The Legion of Nimbus.

The Legion of Nimbus Benefits

The following is a list of Legion of Nimbus membership benefits. Unless otherwise stated, the benefits apply to the member only and my not be transferred to any other individual.

• You will receive one unit of ownership in Nimbus Brewing Co., LLC with all proportionate rights to any distributions of profits made to its members. You will also receive a certificate of ownership indicating you as a member of the Legion and the unit or number of units you own in the Brewery. At this time, this unit is transferable only with the signed approval of the directors of Nimbus Brewing Company., LLC in accordance with the specific guidelines contained in the ownership agreement. The unit is non-redeemable, which means that it is yours for life.
• Each and every time a member of the Legion visits the brewery, they will receive their first beer free. This is limited to one beer per day.
• Members will receive a new distinctive and prestigious Legion of Nimbus mug in which they will be served a full imperial pint (20-oz.). After the members’ first free beer for the day, subsequent beers will be served at the same price as a regular (16-oz.) pint.
• Members will receive a specially designed official short sleeve Legion of Nimbus T-shirt.
• Members will receive a 15% discount on all regularly priced brewery store merchandise. This does not apply to sale items or to shipping charges on mail order purchases.
• Members will receive a 15% discount on special brewery events such as concerts, tastings, field trips, pub-crawls and beer dinners. Certain events may not qualify for this discount. This benefit includes one member and one guest.
• Members will receive advanced invitations to all special brewery events and will be placed on the priority Nimbus Internet mailing list.
• Members will receive business cards to be used to identify Legion of Nimbus membership and to promote the brewery.

In order to receive membership discounts, members must present their membership card at the time of any purchase or event.

Rules and Restrictions

Now, here is the fine print. The whole point of this membership in the Legion of Nimbus is to support the growth of Nimbus Brewing and to have fun. Besides, nobody likes rules, so we have tried to keep ours to a minimum, but there are some that must be spelled out. We at the brewery take very seriously our responsibilities in serving alcohol to our patrons. Our alcohol service policies apply equally to all patrons. Legion of Nimbus members will not receive special treatment with respect to alcohol service.

1. Membership and benefits are not transferable unless specifically stated. Benefits apply to the member only and may not be applied to any other individual.
2. Membership benefits are limited to those listed above in the benefits section of this brochure. No other benefits may be inferred.
3. The Legion of Nimbus membership card identifies you as a member. It is not to be used for any other purpose. Legion of Nimbus members may be asked to present a legal form of identification when purchasing alcoholic beverages, and should accept this gracefully as a tribute to their youthful good looks. Please note that anyone who is carded must present a legal form of identification in order to be served alcohol at the brewery.
4. Nimbus Brewing Co. reserves the right to change terms and benefits of the Legion of Nimbus at any time. Members will be notified in advance by mail of any such changes in terms or benefits.
5. Membership renewal is the responsibility of the individual member. An expiration date is printed on the card. There is a 30 day grace period after the expiration date, during which time all benefits will remain in effect. After the 30 day grace period, your mug will be removed and archived, after which time a $35 reinstatement fee will be required to reclaim your mug and renew your annual membership. With renewal, members receive all the benefits listed above with the exception of a new T-shirt and mug.
6. The brewery reserves the right to revoke a Legion of Nimbus membership without refund if that member refuses to observe brewery policies.
7. Not withstanding numbers 4,5 & 6 above, your unit of ownership in Nimbus Brewing will be yours forever, retaining all benefits thereof even if we change the terms and benefits, even if you don’t renew your membership, and even if your membership should be revoked for whatever reason.
8. Remember, when you patronize the brewery, you are still a customer and are not authorized to act in any managerial or ownership capacity or request anything on that basis. Should you have concerns or recommendations, please contact any of the LLC Officers or the General Manager to let them know. We also plan to implement semi-annual meetings to get your input and to update you on the status, progress, profitability and the future direction of Nimbus Brewing Company.

We trust you will realize the benefits of your membership in the Legion of Nimbus. Your involvement with this company will make you an ambassador of Nimbus Brewing Company when you patronize other establishments. Our profits are made by sales at these establishments. By letting them know that you would like to see our product served at their establishment, you will not only increase profitability of the brewery, you will enhance the potential distribution of profits to its members. We believe that as the ownership and active involvement in the Legion of Nimbus grows, so grows the Brewery.
